Klausul Untuk Vendor dalam IT Service Infrastructure

Salah satu perusahaan yang diangkat oleh Inc. 500 The Fastest Growing Private Companies in America, the 32nd Annual adalah Ensite Solutions, sebuah perusahaan yang menyediakan sistem pendinginan pusat data di Texas. Toby Thomas, pendiri Ensite Solutions, mengatakan bahwa model bisnisnya adalah “mission critical to the mission critical to the mission critical”.

 

Ulasan tersebut juga mengungkapkan bahwa dari 500 growing private companies, hanya 30 persen diantaranya langsung menjual/melayani konsumen akhir. Sisanya melayani para perusahaan dan instansi pemerintah (BtoB). Para perusahaan ini disebut sebagai “hidden champions” oleh Hermann Simon. Mereka bergerak dan beroperasi di lingkungan dan model bisnis yang kasat mata namun menggerakan roda perekonomian.

 

Hal ini yang juga sedang terjadi dalam pertumbuhan pesat IT service infrastructure di Indonesia. Mereka bergerak di “balik layar” dengan mendukung e-commerce dan e-business dengan semisal menyediakan cara pembayaran secara elektronik yang aman dan cepat, jasa hosting, penyimpanan dan pengolahan data.

 

BtoB E-Commerce tetap memberikan tantangannya tersendiri. ManMohan S. Sodhi (2002) mengatakan bahwa tantangan pertama yang harus dihadapi adalah mengintegrasi sistem serta mengintegrasi pemrosesan data dengan banyaknya buyer dan seller melakukan integrasi secara bersamaan. Tantangan kedua adalah bagaimana mengintegrasi order-to-cash cycle. Para pelaku usaha memiliki kebutuhan (buyer, seller, transportasi, agen pemrosesan data) untuk membagi dan mendapatkan data secara real time.

 

Berikut beberapa isu kontraktual yang perlu diperhatikan oleh vendor dalam model bisnis ini:

 

-Scope of services

During the term, Vendor shall be the exclusive provider of and Customer shall purchase from Vendor, all of Customer’s requirements for the services described in Exhibit 2 (the “Services”) all upon and subject to the terms and coditions set forth in this Agreement.

 

-Service location

Vendor shall provide the Services to the Customer’s head office location. Each Party, while on the other Party’s premises, shall comply with the reasonable request, standard rules and regulations of such Party regarding safety and health and personal – professional conduct.

 

-Service level

Within 90 days after the Effective Date, the Parties shall agree to the service level that Vendor shatt meet in the performance of the Services in categories set forth in Exhibit 6 (the “Service Level”).

 

-Vendor Opportunity

Vendor shall have the right to match the material terms of any third-party offer received by Customer with respect to any Out-of-Scope Service. If Vendor offers to provide such service to Customer upon substantially similar terms, Vendor shall provide to Customer and Customer shall purchase from Vendor, pursuant to a Change Order or separate agreement.

 

-Cooperation With Third-Party Service Providers

Upon Customer’s request and reasonable notice, Vendor shall, as an Out-of-Scope Service, cooperate with third-party service providers of Customer, provided however, that (1) such cooperation does not impact the Services or Vendor’s ability to meet the Service Levels and (2) Vendor shall not be required to disclose any of Vendor’s Confidential Information to such third-party service provider.

 

-Customer Intellectual Property

Customer hereby grants to Vendor at no cost to Vendor a nonexclusive right to access and use in connection with the provision of the Services the Customer Proprietary Intellectual Property.

 

-Extraordinary Changes in Workload

If, during the Term, Customer experiences significant changes in the scope or nature if its business that have or are reasonably expected to have the effect of causing a sustained substantial decrease or increase of 40% or more in the amount of resources Vendor uses in performing the Services, Customer shall notify Vendor of any event that Customer believes may result in such sustained and Vendor shall identify in plan that shall be submitted to Customer for review and acceptance. Upon Customer’s acceptance of Vendor’s plan, Vendor shall make any applicable adjustment to the Fees to reflect the foregoing.

 

-Exit Right and Termination Assistance Period

Vendor shall have the right to terminate this Agreement if (1) Customer fails to pay any amounts payable under this Agreement when due (2) Customer fails to perform any of its material nonmonetary obligations under this Agreement and does not cure such default within 30 days of receipt of notice of default from Vendor (3) Customer becomes or is declared insolvent or bankrupt, is the subject or any proceeding relating to company’s liquidation, insolvency or any appointment of receiver against Customer.

 

Upon the expiration or termination of this Agreement:
1. Vendor shall provide the Termination Assistance Period
2. Customer shall allow Vendor to use, at no charge, those Customer
Facilities, Customer Asset and Customer Intellectual Property to perform Termination Assistance Period.
